Affiliate Terms |
This agreement describes the entire terms and conditions for participation in the Rivet UK Affiliate Program. In this agreement, the term "Participant" refers to you (the applicant), and "sponsoring website" refers to the website from which you will link to Rivet UK's Rivet Shop web site. Where ever the agreement refers to "you" or "your", it means "the Participant"; "we" or "our" refer to Rivet UK and the terms "product" or "products" refer to the products offered for sale on the Rivet Shop website.
You can add or remove links at any time: You may add as many links from the sponsoring website to the Rivet Shop, or remove such links, at anytime and without prior approval from Rivet UK.
Recruiting Affiliates: You may add links from the sponsoring website to the Rivet Shop in order to encourage the visitor to become an affiliate. If a visitor from a sponsoring website, following a correctly formatted link, becomes an affiliate you will be assigned as that affiliate's Team Leader and you will become eligable for Team referral fees as set out in these Terms and Conditions.
Referral Fee Qualifying Products: Rivet UK products sold on the Rivet Shop website to a visitor originating from a special link or links at your sponsoring website qualify to earn you referral fees. Products sold to customers arriving by any other means than the specific URL's that you are assigned will not qualify to earn you referral fees. Only qualifying products that are sold by Rivet UK, shipped/sent to a customer and for which Rivet UK has received full payment will qualify for a referral fee. Certain products or purchase options may be made available to specific groups, such as registered affiliates, and in general these will not qualify for referral fees. Referral Fee Amount: The sale price of products for referral fee calculation purposes is the VAT exclusive price. Shipping is excluded from the sale total for referral fee calculation. Referral fee qualifying products will count toward affiliate sales five days after such products are sold. The total of such sales in any given month will generate a base referral fee of 20% of the sale price for you and a Team referral fee of 10% for your Team Leader, if applicable. If you recruit affiliates, as their Team Leader you will be eligable for Team referral fees. Rivet UK reserves the right to alter the amount of the referral fee without notice by posting an updated version of these Terms and Conditions and to offer individual participants different referral fees at its sole discretion.
Referral Fee Bonuses: You will be eligable for a 5% Personal Sales Bonus on all personal sales included in a given commission run if, during the calendar month immediately prior to the commission run, your sales total is greater than £100 (one hundred GB pounds). If this total exceeds £250 (two hundred and fifty GB pounds) you Personal Sales Bonus will be increased to 10%. You will be eligable for a 2% Team Sales Bonus on all Team sales included in a given commission run if, during the calendar month immediately prior to the commission run, your Team has a sales total greater than £1000 (one thousand GB pounds). If this total exceeds £2500 (two thousand five hundred GB pounds) you Team Sales Bonus will be increased to 5%. Sales totals do not carry over from month to month. The Personal Sales Bonus is independant of the Team Sales Bonus, meaning that either or both could be paid depending on sales totals.
Referral Fee Payment: Rivet UK will transfer the applicable referral fee to your PayPal account, or send a referral fee cheque, by the 15th of each calendar month. If you have chosen to be paid by cheque we will only write a cheque if your commission comes to more than £25. If your commission comes to less than this amount in any month it will be carried over until you have commission totaling more than £25. If you have chosen to be paid via your PayPal account we will pay your commission each month regardless of amount.
Returns and Cancellations: If a referral fee qualifying order is cancelled or returned by the customer, its referral fee will be deducted from the next monthly payment sent to the Participant.
Order Processing: Rivet UK will be solely responsible for processing every order placed by a customer following a special link from your sponsoring website. Order entry will use Rivet UK secure online ordering process or Rivet UK's mailing address. Order forms, payment processing, shipping, cancellations, returns, and related customer service are the responsibility of Rivet UK.
All of the rules, operating procedures and policies of Rivet UK regarding customer orders and accounts will apply to orders we receive through special links on your sponsoring website. Rivet UK reserves the right to reject any order that does not comply with our rules, operating procedures and policies.
Tracking of Sales: Rivet UK will be solely responsible for tracking sales we make to customers who follow special links from the sponsoring website. The Participant will be solely responsible for ensuring that these special links are formatted properly, a necessary prerequisite to tracking such sales. Statements of sales activity will be provided to the Participant in realtime in their personal Affiliate Resource area on the Rivet Shop website.
Promotional Techniques: You are free to promote links to the Rivet Shop in all the ways we recommend in the Affiliate Resource area on our website. Examples of acceptable ways to promote the Rivet Shop and its products are: through banners, text links, letters of recommendation to newsletters subscribers or your client base. However, if you use SPAM in any way, shape or form, including email and newsgroup spamming, your account will be immediately terminated! The definition of what constitutes SPAM in this situation is solely at the discretion of Rivet UK and you must agree to our anti-spam policy, which forms a part of this agreement, during the sign up process. Any referral fees not paid up to the point of termination will not be paid to you and will become the property of Rivet UK.
References/Testimonials: You agree to cooperate with Rivet UK in the development of joint press releases and testimonials. You further agree that you will allow us to use your company name in marketing collaterals and make reference to you on our website.
Copyrighted material: As the Participant, you are solely responsible for ensuring that your reviews, product descriptions and articles (if applicable at your site) obey all applicable copyright and other laws. You must have express permission to use another party's copyrighted material. Rivet UK will not be responsible if you use another party's copyrighted material in violation of the law.
Trademarks, Trade Names, & Patents: You hereby recognize the right of ownership by Rivet International Pty of all Trademarks, Trade Names, and Patents associated with these products. You will act consistently with these rights and act to preserve them in the course of marketing and sales of these products. You are granted a limited, non-exclusive and non-transferable right to use these Trademarks and Trade Names only in connection with marketing and sales of these products. This right is limited to the promotional material provided for you in the Affiliate Resource area. You do not have the right to use any other image or text from any Rivet UK website. If the material provided does not meet your needs please contact us.
Rivet UK policy applies to all orders: Every customer who buys a product through this program is deemed to be a customer of Rivet UK. The Participant does not have the authority to make or accept any offer on behalf of Rivet UK. All Rivet UK policies regarding customer orders, including product availability, pricing and problem resolution, will apply to these customers. Rivet UK is not responsible for any representations made by the Participant which contradict our policies.
Product prices and availability: The price charged for every product sold under this program will be determined by Rivet UK according to our own pricing policies. In case of any price discrepancies, the price charged to the customer will always be the price listed on the Rivet Shop webpage.
Product availability can change, and Rivet UK will present the best information available to all sponsoring sites and its customers regarding product availability. Rivet UK makes no guarantee of product availability now or in the future. You should not make any assertion about product availability to potential customers without obtaining written confirmation from Rivet UK first.
Website service interruption: Rivet UK will make every effort to keep its website operational. However, certain technical difficulties may, from time to time, result in temporary service interruptions. The Participant agrees not to hold Rivet UK liable for any of the consequences of such interruptions.
Term of the Agreement: The Participant may receive referral fee payments on qualifying orders that are placed during the term of this agreement. This term will begin on the date that your application is approved by Rivet UK, and shall end when cancelled by either party as provided below.
Referral Fees earned through the date of expiration or cancellation of this agreement will remain payable only if the products are not returned or cancelled from their orders. Payment of the final referral fee payment to the Participant may be withheld for a reasonable time in order to ensure that the correct amount is paid.
Inclusion of other material: These Terms and Conditions are deemed to include any guidance, restrictions, rules or other instructions as may be posted from time to time in the Affiliate Resource area. It is your responsibility to ensure you read and understand all of this material. By accepting these terms and conditions you acknowledge that you will abide by such guidance, restrictions, rules, and instructions.
The agreement may be modified: Rivet UK reserves the right to change any of the terms and conditions in this agreement, at any time and in its sole discretion, by posting a new agreement on our website.
Cancellation of this agreement: Either Rivet UK or the Participant, acting in their sole discretion, may choose to cancel this agreement at any time by written notice of cancellation to the other.
Warranty Disclaimer: Rivet UK makes no warranties, representations or conditions with regard to the program or, except as expressly set forth in Rivet UK's then current product sales policies, any products sold thereunder, whether express or implied, arising by law or otherwise, including without limitation any implied warranty of merchantability or fitness for a particular purpose or non-infringement or any implied warranty arising out of course of performance, course of dealing or usage of trade.
Limitation of Damages: Rivet UK shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program, even if Rivet UK has been advised of the possibility of such damages. Further, Rivet UK's aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total referral fees paid or payable by Rivet UK to Participant under this agreement.
Miscellaneous: Participant and Rivet UK are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Participant shall not assign this Agreement, by operation of law or otherwise, without the prior written consent of Rivet UK. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns.
Governing Law: This agreement shall be governed by the laws of England. |
